GENERAL SALE CONDITIONS

1. Unless otherwise agreed, hereby general sale conditions shall govern all business relations between the Buyer and Monika Adamczyk, conducting business activity under the name RESIN Monika Adamczyk, tax No. (NIP) PL7343532214, with a registered seat at ul. Jagiellońska 24, 33-300 Nowy Sącz, Poland, hereinafter referred to as the Seller.
2. The Buyer shall place the purchase order to the Seller via email.
3. The number of Products ordered by virtue of the particular Purchase order must be a minimum of 20 homogeneous pieces of products. Purchase orders not complying with the abovementioned condition will not be accepted nor realized by the Seller (if not otherwise agreed on the case to case basis).
4. Within 7 working days of the receipt of the particular purchase order, the Seller shall issue the Order Confirmation.
5. Products shall be sold on the Carriage Paid to Buyer’s location basis (INCOTERMS 2020).
6. The Seller declares that the standard lead time shall be during 60 days of the day of the issuance of the order confirmation.
7. Any Products’ shortage has to be notified to the Seller within 3 days of the day on which the products were delivered to the Buyer.
8. The purchase price for the ordered products shall be calculated on the basis of the price list provided by the Seller to the Buyer no earlier than 3 months before the given purchase order.
9. The Seller shall issue an invoice for the purchase price. The invoice for the purchase price shall be sent via email on the day of order confirmation and the copy thereof shall be sent to the Buyer via registered mail or together with the products.
10. The purchase price shall be due within 7 days.
11. The products remain the property of the Seller until the Seller receives a full purchase price for them.
12. Should the Buyer be in any delay in payment of the purchase price (or any part of it) then the Seller is entitled to hold shipment of products without any legal consequences
13. All intellectual property rights (including but not limited to copyright) to Seller’s products remain the sole property of the Seller.
14. The Buyer may not modify, copy, reproduce, improve, or use Seller’s products for any purposes.
15. All disputes arising from the execution hereof shall be governed by Polish law. The application of the United Nations Convention on contracts for the International Sale of Goods (Vienna 1980) shall be excluded.
